Terms of Service the agreement, in plain English.

These Terms of Service (the "Terms") are a legal contract between you and Corrigio ("we", "us") governing your use of corrigio.tech, our CLI, our GitHub App, and any related services (collectively, the "Service"). Please read them carefully — by creating an account or otherwise using the Service, you agree to them.

1. Forming this agreement

You accept these Terms by clicking "Sign in with GitHub", by creating a workspace, by running our CLI against the Service, or by otherwise using the Service. If you are accepting on behalf of an organization, you represent that you have the authority to bind that organization, and "you" in these Terms refers to that organization.

If you have signed a separate written agreement (such as an Enterprise Agreement or a Data Processing Addendum) with Corrigio, that agreement controls in the event of a conflict with these Terms.

2. Definitions

• Service — the Corrigio web application, CLI, GitHub App, and any related products we offer.
• Customer — the individual or organization that has created a Corrigio workspace.
• Workspace — a logical grouping of repositories, API sources, and members within the Service.
• API Source — a third-party API that you ask Corrigio to monitor, identified by an OpenAPI specification URL, webhook, or uploaded document.
• Patch — a set of file edits generated by Corrigio in response to a detected change in an API Source.
• Your Content — your repositories, source code, OpenAPI specifications, and any other materials you submit to the Service.
• Generated Content — diffs, patches, PR bodies, and reports produced by Corrigio from Your Content.

3. Accounts & eligibility

You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use the Service. You must provide accurate information when creating an account and keep it up to date. You are responsible for all activity under your account and for complying with all laws applicable to your use of the Service.

You must use your own real identity when authenticating through GitHub. Sharing credentials, impersonating another user, or using a bot account to circumvent rate limits is prohibited.

4. License to use the Service

Subject to these Terms, Corrigio grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal development purposes during the period for which you have paid any applicable fees.

Open-source components of Corrigio are licensed under their respective licenses, which are reproduced in our repositories. Those licenses continue to apply to the open-source code; these Terms apply to the hosted Service.

5. Acceptable use

You agree not to:

• Use the Service to violate any law, regulation, or third-party agreement (including your agreement with GitHub or any API provider you monitor).
• Attempt to access data belonging to another Customer without authorization, or reverse-engineer, decompile, or otherwise extract source code from the Service.
• Abuse, overload, or attack the Service, including by exceeding documented rate limits, scraping, or attempting to disrupt authentication.
• Submit content that is unlawful, infringing, malicious, or that you do not have the right to submit.
• Use the Service to build a competing product, or to train machine learning models on Generated Content without our written permission.

We may suspend access for serious or repeated violations, as described in the Suspension & Termination section.

6. Your content & repos

You retain all right, title, and interest in Your Content. By submitting it to the Service, you grant Corrigio a limited, worldwide, non-exclusive, royalty-free license to access, copy, transmit, and process Your Content solely as needed to operate the Service for you — including reading repositories, parsing OpenAPI specifications, searching source files, and generating patches.

You represent that you have the rights necessary to grant us that license, including any rights needed to read the repositories you connect. If you connect a repository owned by an organization, you represent that the organization has authorized you to do so.

We do not train machine learning models on Your Content. We do not share Your Content with third parties except as needed to deliver the Service (for example, opening a pull request on GitHub) or as required by law.

7. Patches we generate

Generated Content is produced by automated analysis of Your Content and the API Sources you monitor. We attach a confidence score to each patch. Patches are suggestions, not authoritative fixes. You are responsible for reviewing, testing, and merging them. Corrigio never pushes directly to a default branch.

You may use, modify, and distribute Generated Content as part of Your Content without further obligation to Corrigio. Corrigio retains no ownership interest in Generated Content once it is merged into your repository.

8. GitHub integration terms

Corrigio integrates with GitHub through OAuth and a GitHub App. Your use of GitHub is also governed by GitHub's own Terms of Service and Acceptable Use Policies. If GitHub suspends or terminates your account, your ability to use the Service may be affected, and we are not responsible for any resulting disruption.

You are responsible for configuring the scope of access you grant to Corrigio. You can revoke access at any time from your GitHub settings; revocation takes effect within minutes.

9. Pricing, billing & refunds

Current pricing is published at corrigio.tech/#pricing. While Corrigio is in early access, all features are free. When paid plans are introduced, we will give existing users at least 60 days' notice before any paid feature becomes billable.

For paid plans, fees are billed in advance in USD. We may change pricing with at least 30 days' notice before the next billing cycle. Annual plans are refunded on a pro-rata basis for full unused months only if we terminate your account for our own reasons or discontinue the Service. Refunds for monthly plans are issued at our discretion for documented Service outages exceeding our SLA.

10. Beta & early-access features

Some features are marked as beta or early access. These may be changed, deprecated, or removed at any time with reasonable notice, and may have higher error rates or different support levels than generally available features. We may also limit the number of beta participants.

11. Service availability

We target 99.9% monthly uptime for the web application, excluding scheduled maintenance, third-party outages (GitHub, Vercel, Supabase), and force majeure events. Current status is published at status.corrigio.tech. For paid plans, customers may receive service credits for outages that breach this target, calculated against the affected month's fees.

12. Intellectual property

Except for Your Content and open-source components, the Service, Corrigio's name and logo, and all related intellectual property are owned by Corrigio. These Terms do not grant you any right to use our trademarks, service marks, or trade dress except as explicitly permitted in writing.

We welcome feedback and suggestions, but any feedback you provide is non-confidential, and we may use it without restriction or obligation.

13. Warranties & disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Corrigio disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or that Generated Content will be correct or safe to merge. You are solely responsible for any code you merge as a result of using Corrigio.

14. Limitation of liability

To the maximum extent permitted by law, in no event will Corrigio be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, use, or goodwill, arising out of or related to the Service, whether in contract, tort, or any other theory.

Corrigio's total aggregate liability for all claims arising out of or related to the Service will not exceed the greater of (a) the amounts you have paid to Corrigio in the 12 months preceding the claim, or (b) USD 100.

15. Indemnification

You will defend, indemnify, and hold harmless Corrigio and its affiliates from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your Your Content, your violation of these Terms, or your violation of any third-party rights (including GitHub and any API provider you monitor).

16. Suspension & termination

You may terminate your account at any time from your workspace settings. We may suspend or terminate your access if you violate these Terms, if we are required to by law, or if we discontinue the Service. For serious violations (such as abuse or unauthorized access), we may suspend immediately without prior notice.

Upon termination, your right to use the Service ends, and we will delete Your Content and Generated Content according to the retention schedule in our Privacy Policy. Sections that by their nature should survive termination (including Warranties, Limitation of Liability, Indemnification, and General Provisions) will survive.

17. Changes to these terms

We may update these Terms from time to time. For material changes, we will notify signed-in users at least 30 days before the changes take effect by email and in-product notice. Continued use after the effective date constitutes acceptance of the updated Terms.

If you do not agree to updated Terms, you may terminate your account before the effective date and receive a pro-rata refund for any prepaid fees.

18. Governing law & disputes

These Terms are governed by the laws applicable in the jurisdiction where you reside, to the extent permitted by those laws, without regard to conflict-of-laws principles. If you are using the Service on behalf of an organization, the governing law will be the law of the jurisdiction where the organization is established.

Before filing any claim, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If negotiation fails, the dispute will be resolved through binding arbitration administered by a mutually agreed arbitral institution under its streamlined rules, with the seat of arbitration determined by the claimant's place of residence or, for organizations, place of establishment. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information without first arbitrating.

19. General provisions

• Entire agreement — these Terms, together with the Privacy Policy and any signed agreement, are the entire agreement between you and Corrigio regarding the Service.
• Severability — if any provision is held unenforceable, the remaining provisions remain in full force.
• Assignment — you may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Any attempted assignment in violation of this section is void.
• Force majeure — neither party is liable for delays or failures caused by events beyond its reasonable control, including outages of upstream providers like GitHub.
• No waiver — our failure to enforce a right is not a waiver of that right.
